Ritter | 911 A.2d 362 (Del. 2006) A banking corporation failed to notice dishonest individuals who ran a criminal scheme through it. The court in Stone versus Ritter considered the level of directorial inattention needed to show a failure to act in good faith. AmSouth Bancorporation was a Delaware corporation. AmSouth’s subsidiary, AmSouth Bank, operated banks throughout the southeast. In 2000, AmSouth banks inadvertently became part of a Ponzi scheme. The scheme was discovered in 2002, and AmSouth became subject to a criminal investigation. The investigation determined that at least one AmSouth employee had suspected the investment scheme was illegal, but had failed to file a Suspicious Activity Report. No blame was ascribed to the board or any individual director. The Federal Reserve ordered AmSouth to improve its Bank Secrecy Act and Anti-Money-Laundering, referred to as BSA/AML, program. AmSouth had to pay about $50 million in fines and penalties. William and Sandra Stone owned shares of common stock in AmSouth. They filed a derivative complaint in the Court of Chancery, alleging that AmSouth’s directors had failed to engage in proper oversight. The Court of Chancery dismissed the case based on the Caremark standard, under which, if a shareholder’s claim of directorial liability for corporate loss is based on the directors’ ignorance of liability-creating activities within the corporation, then only the board’s sustained or systematic failure can establish the lack of good faith that’s required for liability.
